End-User License Agreement & Terms of Service

These Terms of Service and End-User License Agreement (the “Terms”) are a legal agreement between you and Fairlead Advisors, LLC (“Quickbeans,” “we,” “us,” or “our”) governing your access to and use of the Quickbeans application and related services (the “Service”). By creating an account, connecting a QuickBooks Online company, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. License grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We retain all right, title, and interest in the Service, including all software, content, and intellectual property.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account.
3. QuickBooks Online connection
The Service connects to QuickBooks Online via Intuit’s API using OAuth. By connecting, you authorize Quickbeans to access, read, and write data in the QuickBooks company you select, as needed to provide the features you use (including importing documents and creating and posting bills, including on schedules you configure). Your use of QuickBooks Online is also governed by your agreement with Intuit. You may disconnect at any time, which revokes our access.
4. Your responsibilities and content
You are responsible for the documents and data you upload and the instructions you give the Service, including any bills or transactions you direct it to post to QuickBooks. You represent that you have the right to provide such data and to authorize the Service to act on it. You should review automated results (including extracted data and transactions queued for posting) before relying on them.
5. Acceptable use
You agree not to use the Service in violation of any law or the Intuit Developer Terms; attempt to gain unauthorized access to the Service or its systems; reverse engineer, decompile, or interfere with the Service; or use the Service to transmit malicious code or to infringe others’ rights.
6. Fees
If the Service is offered for a fee, applicable pricing and payment terms will be provided to you separately. Where the Service is provided at no charge, we may modify or discontinue it at our discretion.
7. Privacy
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Quickbeans is a software tool and does not provide accounting, tax, legal, or financial advice. You are responsible for the accuracy of your books and for compliance with applicable requirements.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKBEANS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).
10. Indemnification
You agree to indemnify and hold harmless Quickbeans and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Service, your content, or your violation of these Terms.
11. Term and termination
These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your license ends and we will handle your data as described in the Privacy Policy.
12. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide notice as required by law and update the “Last updated” date. Your continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in [State/County].
